1. Acceptance of Terms

By accessing or using MandarinClips (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time; continued use constitutes acceptance of revised Terms.

2. Description of Service

MandarinClips is a language-learning platform that provides short video clips from films and television series for educational purposes. The Service includes video streaming, search, subtitles, and optional download functionality with embedded subtitles.

3. User Accounts & Subscriptions

Certain features require account registration with Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials. In the current MVP, MandarinClips offers one paid plan (Premium) billed monthly via Patreon and renewed automatically unless cancelled on Patreon before renewal.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Redistribute, resell, or sublicense video content outside the Service.
• Attempt to reverse-engineer, scrape, or extract data via automated means.
• Upload or transmit any malicious code or content.
• Impersonate others or provide false information.

5. Intellectual Property

Video clips are sourced from original content owned by their respective copyright holders and are used for educational purposes under fair use / fair dealing principles. The MandarinClips platform, logo, website code, and curated database are the exclusive property of MandarinClips. You may not copy, modify, or distribute these materials without written permission.

6. Payment Terms

All prices are listed in US Dollars (USD) unless otherwise noted. For MVP, all paid subscriptions are processed through Patreon only. By subscribing, you also agree to Patreon’s billing terms. We are not responsible for additional fees, currency conversion charges, or taxes imposed by your jurisdiction.

7. Limitation of Liability

To the fullest extent permitted by law, MandarinClips shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. The Service is provided “as is” without warranties of any kind, express or implied.

8. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and without prior notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Hong Kong SAR, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Hong Kong SAR.
